  1. Hey James, here is some advice, maintain total control of your new company and do not relinquish it to a board filled with bedwetting scaredy-cat disloyal weathervanes who are fuzzy on your mission statement and do NOT have your back.

Do that and things will go much better for you.

  2. “Hey James, here is some advice,”

That’s not how it works. That’s not how any of this works. James needs a shit load of cash. Odds are he doesn’t have that much cash. Which means James needs investors. That’s where the problems begin. And some what rightfully so. He needs to draw the line on investors installing their own management team. Unfortunately corporate bi laws will neuter his authority. Just like before. It’s the nature of the beast.

  3. So long as James remains CEO, he’s ok. (Kind of like Rupert Murdoch and Fox.) James’ reputation is so entrenched, HE IS the brand, and investors will be weary of fucking with him.

  4. Corporate law is not logical. At least for me. Lived it.
    Claudia offers excellent advice.

PS, Corporate Laws intent was to protect the share holder, not the founder. That’s why it sucks.

  5. It stretches credulity to think that James would walk himself into a similar situation. Good thing it is NOT similar. OMG is a subscription-based service, funded by subscribers so in this respect, no, he is not beholden to investors. Much like Substack, he has control and creates content that is available to only those paid subscribers.

Did you gain all this cooperate knowledge running around in a CHP car Mr Literate? Or as a mid level administrator in a government institution. Please lay out your cooperate experience and I’ll do the same. I’m a high school educated idiot but was fortunate enough to have a bad ass biz guy take me under his wing. Let’s discuss cooperate law. This comment should get you many more thumbs up. Realities a bitch.

  7. Instead of being snarky and wishing me luck why don’t you be an adult and explain it to me. You have praised your business acumen so please explain for the rest of us that don’t have your knowledge, please explain why his business model will fail.

Nothing devolved into a catfight because it takes two to fight and I do NOT come here for that.

The issue disputed was James having control of his new company. In his old one he did not and things did not go well for him. But his new company has a completely different business model.

I was told here that he could never have control because he needs investors but if anyone spends the time to go to his website, it clearly spells out how he will obtain capital and it is NOT through investors. This made sense to me and I shared it, but was told,”reality is a bitch” and shut up since I have no degree from Wharton’s School of Business. OK, fair enough but where was I going wrong? I could not get an answer, that was the disconnect.

  9. Rich, I will read what is on the website. Have not had the chance yet. My guess is that O’Keefe will not make the same mistake. If there is an opportunity for me to support in my small way, I will do so.
